A new piece is unlocked in the operation that sees the protagonist Bialetti industry. Consob has arranged the restart of the instructional terms on the public purchase offer (OPA) mandatory totalitarian promoted by Octagon BidCo (Nuo Capital group vehicle) on the ordinary shares of the historic Italian company, famous for its moka express. The terms resume today, July 1, 2025, and will conclude on July 7th 2025.
Nuo Capital acquired 78,56% of Bialetti last April (acquisition completed on June 6), starting a broader operation: debt refinancing, reduced from 98,6 to 44,1 million, thanks to a mix of equity, a senior financing of 50 million and a junior financing of 30 million. The takeover bid – launched by Octagon Bidco – aims at delisted of the company from Euronext Milan.
The path of the Bialetti takeover bid: between suspensions and restarts
The Supervisory Authority had exam suspended of the Offer Document, filed on 9 June 2025, to acquire information integrated deemed necessary for the completion of the investigation. Octagon BidCo confirmed that Consob officially communicated this decision, specifying that the previous suspension of the terms could not exceed 15 calendar days.
Now the dossier is back on the table of the Authority: the examination will continue for a week, a period at the end of which important news could arrive for the shareholders and for the future of the stock at Piazza Affari.
